Thank you for visiting GoSchmooze Inc.’s website (the “Site”) located at [www.GoSchmooze.com]. Your privacy is important to us. This privacy policy (“Privacy Policy”) explains certain policies that GoSchmooze Inc. (“GoSchmooze” or “we”) has implemented governing our use of Personally Identifiable Information (as defined below) and other information that we gather from users (anyone who accesses the Site) of our Site.  GoSchmooze maintains the Site so its users may visit, register, become a member and reserve a chair at a local restaurant to meet with other members for the purposes of business networking (the “Service”).
 

“Personally Identifiable Information” for purposes of this Privacy Policy means any item of information, that by itself, or when combined with other information, permits a person to be identified, including, without limitation, a person’s first and last name, picture, video, work profile, industry, profession, credit/debit card information, work telephone number, work address and/or work e-mail address.


This Privacy Policy, together with the Terms of Service (the “Terms”), govern your use of the Site and Service. By virtue of accessing and/or using the Site and/or Service, you have agreed to the terms of this Privacy Policy and the Terms, each as amended from time to time.
 

Changes to Privacy Policy

GoSchmooze may add to, change, or remove any part, term or condition of this Privacy Policy at any time without prior notice to you. It is your responsibility to check this Privacy Policy periodically for changes. By continuing to access or use the Site and/or Service, you are indicating your acceptance of such changes. Notwithstanding, we may notify you of any significant changes to this Privacy Policy by posting notices of such changes on the Site.
 

Collection of Personally Identifiable Information

In order to register and use the Site and/or Service, you may need to provide certain Personally Identifiable Information to us. For example, we may ask you to provide us with your first and last name, work e-mail address, industry, profession, and work zip code and/or provide your username and password to your account at LinkedIN (a separate, distinct and independent entity from GoSchmooze).   You acknowledge that by providing your LinkedIN username and password, you are giving us access to your information on LinkedIN and any such available information shall be included in the definition of Personally Identifiable Information herein.
 

In order to become a Member and use the Site and/or Service, you may need to provide certain Personally Identifiable Information to us.  For example, we may ask you to provide the information required to become registered as well as your work/home/cell telephone numbers, work/home address, personal e-mail address, work/home website address, your professional and personal interests, your picture, your work profile, credit/debit card information, and such other information as may be specified by GoSchmooze from time-to-time.  GoSchmooze collects all personal and financial information, considered herein as Personally Identifiable Information, by requesting same on the Site, and may use such information for all the purposes recited in this Privacy Policy, including but not limited to, allowing a user to participate in the Service and pay for his/her membership.
 

In order to optimize the results of your use of our Service, you may choose to provide additional Personally Identifiable Information and other information to us through the Service, although you are not required to do so. For example, you may choose to include your educational and professional background in your Service profile, or you may choose to provide us with access to additional information through third party applications, including but not limited to LinkedIN, Facebook, or another Social Media website. We will only use such information as set forth in this Privacy Policy.
 

In addition, we may collect Personally Identifiable Information that you provide to us through communications that we have with you, (whether initiated by you or us), by telephone, e-mail, web site submissions, letter, or in other forms of communication, and we may associate such Personally Identifiable Information with your existing Personally Identifiable Information in our records.
 

Finally, we may collect Personally Identifiable Information by way of pictures and/or videotaping of you using the Service and reserve the right to use that information on the Site and/or marketing material for the benefit of GoSchmooze.
 

Updating Your Personally Identifiable Information

You may update the Personally Identifiable Information that you have previously provided to us, by logging into your Service/Profile account and updating such information.  It is strongly recommended that you update your Service/Profile account as soon as possible.
 

Use and/or Disclosure of Your Personally Identifiable Information

We may use and/or disclose your Personally Identifiable Information: (i) provide, maintain and/or improve the Service; (ii) to contact you in connection with the Service or other information that we have provided to you; (iii) to notify you of changes to the Site and Service, this Privacy Policy and the Terms; (iv) to verify your identity and authority to use the Site and Service; (v) to maintain and improve the technical functioning, content and general administration of the Site; (vi) to develop new products and services; (vii) to protect the rights and property of GoSchmooze, our users and third parties; and (viii) to otherwise comply with our obligations under applicable laws, rules and regulations.

We may use and/or disclose your Personally Identifiable Information to contact you with offers for additional GoSchmooze products and services that we believe may be of interest to you.  If you do not wish to be contacted with these offers you may opt-out by submitting an email to info@goschmooze.com.
 

We may use and/or disclose your Personally Identifiable Information to our third-party vendors and service providers (separate, distinct and independent entities from GoSchmooze) who we engage to assist us in making the Site and Service available, perform information processing and data management, provide our users with the Service, and carry out the purposes, functions and intent of GoSchmooze.  We require these third parties to process Personally Identifiable Information strictly in accordance with our instructions, and we require them to use other appropriate security and confidentiality measures to protect your Personally Identifiable Information.
 

We may use and/or disclose your Personally Identifiable Information to our users for the purposes of providing our users with the Service and/or carrying out the purposes, functions and intent of GoSchmooze. 
 

We will not SELL your Personally Identifiable Information to any individual, organization or entity. 
 

We may use and/or disclose your Personally Identifiable Information without seeking your consent: (i) when we reasonably believe that we are required or permitted to do so by law, regulation or other government authority, including, without limitation, in response to valid legal processes, such as subpoenas, search warrants and court orders, or to establish or exercise our legal rights or defend against legal claims, or when we deem it appropriate or necessary to provide such information to law enforcement authorities; (ii) to enforce the terms of this Privacy Policy, and/or to implement, maintain and/or carry out the Services or the Terms; (iii) to protect and defend the property and other rights of GoSchmooze, our users, agents, or third parties; (iv) to charge your credit/debit card to cover the cost of your membership; and/or (v) to protect the safety of our employees, users, agents, or third parties, including as required to detect and prevent fraud, security, or technical issues.
 

GoSchmooze shall not be liable for any use and/or disclosure of your Personally Identifiable Information to third parties as set forth in this Privacy Policy, or any use and/or disclosure of your Personally Identifiable Information by such third parties.
 

Except as noted above, we will not share your Personally Identifiable Information with any other person or entity without your prior consent, except that we may transfer your Personally Identifiable Information to: (i) any current or future parent, affiliate or subsidiary of GoSchmooze; or (ii) a successor or acquiring entity upon a sale, merger, consolidation or other corporate reorganization in which GoSchmooze participates; provided however, that we will require your Personally Identifiable Information to be protected by a privacy policy that is at least as protective as the terms of this Privacy Policy.
 

Deletion of Personally Identifiable Information

You may access your Service/Profile account and delete certain Personally Identifiable Information contained in your Service/Profile account at any time.
 

In addition, upon receipt of a written request from you provided by e-mail or letter, and on condition that you are otherwise in good standing with GoSchmooze, you may request GoSchmooze to delete any remaining Personally Identifiable Information from its records, subject to GoSchmooze’s unilateral approval.  GoSchmooze will not delete such information if: (i) GoSchmooze shall be legally required to retain your Personally Identifiable Information under applicable laws, rules or regulations; and/or (ii) it would be unreasonably impractical or expensive for GoSchmooze to delete your Personally Identifiable Information from its archives, back-up files or other data storage locations.  In any case, GoSchmooze will continue to comply with the terms of this Privacy Policy in respect of any of your non-deleted Personally Identifiable Information.
 

We are not required to retrieve, or require any deletion of, any of your Personally Identifiable Information that we have previously provided to any third party as permitted by this Privacy Policy. You acknowledge and agree that upon deletion of your Personally Identifiable Information, GoSchmooze will be unable to provide you with any copies of such Personally Identifiable Information and you are solely and exclusively responsible for keeping your own copies of any Personally Identifiable Information that you provide to GoSchmooze.
 

Cookies

We may use small text files called cookies to uniquely identify your browser. A cookie is an element of data that a website sends to your browser, which may then store it on your system. We may use cookies so that we can improve the overall experience, quality and accuracy of our Site and Service. For example, a cookie can store your Site and Service user preferences. We may use such aggregate information to monitor the number of Service users who visit a venue owned or operated by a third party vendor or service provider (separate, distinct and independent entities from GoSchmooze) for a GoSchmooze event, and the time such users visit such venue. We reserve the right to provide this and any other aggregate information to such third parties in our sole discretion. In addition, we may use aggregate information: (i) to analyze trends; (ii) to administer the Site; (iii) to gather broad demographic information about aggregate use; (iv) to develop, provide and improve the Site and Service; and (v) for our other business-related purposes.
 

Links to Third Party Web Sites.

The Site and Service may provide links to other web sites that are not owned or operated by GoSchmooze (“Third Party Web Sites”), including without limitation, LinkedIN, YouTube, Facebook, Google, Mapquest, web sites owned and/or operated by Restaurants, Hotels, Users/Members, mapping/direction sites, credit/debit card processors and/or its affiliates, as well as third parties and service providers working in conjunction with the Site and/or Service.  GoSchmooze provides these links to you as a convenience only, and GoSchmooze does not verify, make any representations concerning, or take responsibility for, such Third Party Web Sites, or the products or services offered through such third party web sites, including, without limitation, the truthfulness, accuracy, quality, or completeness of the content of, or activities conducted on, such Third Party Web Sites. You should use your own independent common sense judgment before accessing and using such Third Party Web Sites, or products or services offered through such third party web sites. This Privacy Policy and the Terms do not apply to such Third Party Web Sites, and you should review such Third Party Web Sites’ privacy policies, terms and conditions and business practices as they may be different to those of GoSchmooze and it is your sole responsibility to comply with such terms. Your dealings and communications with any third party in connection with the Third Party Web Sites are solely between you and such third party.
 

Security

We employ procedural and technological security measures that are reasonably designed to help protect your Personally Identifiable Information from loss, unauthorized access, disclosure, alteration, or destruction. In this regard, GoSchmooze uses firewalls, password protection, physical and personnel access restrictions and other security measures. While we strive to do our best to protect your privacy, GoSchmooze cannot guarantee that unauthorized access to, or disclosure of, your Personally Identifiable Information will never occur, and to the greatest extent permitted by applicable law, we will have no liability to you for any unauthorized access, disclosure, alteration, or destruction of your Personally Identifiable Information.
 

Children’s Privacy

GoSchmooze recognizes the privacy interests of children and we encourage parents and legal guardians to take an active role in their children’s online activities and interests. The Site and Service are only intended for persons who are aged 18 or older, and GoSchmooze does not knowingly collect Personally Identifiable Information from persons under 18 years of age. If you are under the age of 18, your parent or legal guardian cannot consent to your use of the Site or Service.
 

Processing of Personal Information

Our computer systems and those of our third party vendors and service providers may be located in the U.S. or other countries, so your personal data may be processed at locations where data protection and privacy regulations may not offer the same level of protection as in other parts of the world, such as the European Union.
